Welcome to Kabiri ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Kabiri website at kabiri.co, the Kabiri platform, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, signing up for our waitlist, or accessing the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Nature of the Service

Kabiri is a unified workspace platform that brings your email, calendars, files, projects, notes, contacts, and team messaging under one roof. You can connect external services (such as Gmail, Google Calendar, Dropbox, and Slack) and use Kabiri's built-in tools including notes, to-do lists, boards, calendars, and project organisation.

3. Eligibility

You must be at least 18 years old to create an account and use the Service. The Service is intended for professional and business use and is not directed at children. We do not knowingly collect personal data from anyone under 18. If we become aware that we have collected personal data from a child, we will delete it promptly. If you believe a child has provided us with personal data, please contact our Data Protection Officer at privacy@kabiri.co.

4. Accounts

To use the Service, you must create an account. You are responsible for:

• Providing accurate and complete registration information.
• Maintaining the security of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately at hello@kabiri.co if you suspect unauthorised access to your account.

5. Subscription Plans & Billing

Kabiri offers Free, Premium, Business, and Enterprise subscription tiers. Details of each plan, including pricing, features, and limits, are available on our Pricing page.

• Free Tier: Available at no cost with usage limits. No payment information is required.
• Paid Tiers: Billed monthly or annually in GBP via Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis until you cancel.
• Business Tier: The team owner is billed for all seats on a single invoice.
• Enterprise Tier: Custom pricing and payment terms agreed on a per-contract basis.

All prices are exclusive of VAT where applicable. We reserve the right to change pricing with 30 days' notice to active subscribers.

6. Free Trials

Paid tiers may include a free trial period. At the end of a trial, if you do not subscribe, your account will be downgraded to the Free tier. Your data, projects, and workspace will remain intact, but Free-tier usage limits will apply. You will not be charged unless you actively subscribe to a paid plan.

7. Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your paid features remain active until the end of the current billing period.
• After the billing period ends, your account is downgraded to the Free tier.
• Your data is preserved but subject to Free-tier limits.

Refunds are not provided for partial billing periods. If you believe you have been charged in error, please contact us at hello@kabiri.co.

8. Waitlist

By submitting your email address to the waitlist, you:

• Confirm that the email address you provide is accurate and belongs to you.
• Consent to receiving emails from Kabiri, including a waitlist confirmation, platform launch notification, and occasional updates about the Service.
• Understand that you can request removal from the waitlist at any time by emailing hello@kabiri.co.

9. Intellectual Property

All content on this Site, including but not limited to the Kabiri name, logo, design, text, and graphics, is the property of Kabiri and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Site without our express written permission.

10. User Responsibilities

You agree to:

• Provide accurate information when creating an account or joining the waitlist.
• Use the Service only for lawful purposes.
• Not attempt to interfere with the proper functioning of the Service.
• Not submit false, misleading, or fraudulent information.
• Not use the Service to store or transmit malicious code or infringing content.

10.1 Prohibited Content

You must not upload, share, store, or transmit content that:

• Depicts or promotes child sexual abuse or exploitation in any form. We have zero tolerance for this material: it is removed, the account is terminated, and it is reported to the Internet Watch Foundation and law enforcement.
• Is otherwise illegal under the law of England and Wales.
• Depicts or threatens violence, or harasses, bullies, or abuses anyone.
• Is pornographic or sexually explicit.
• Infringes someone else's intellectual property rights.

To enforce this, uploaded images are scanned automatically and anything flagged is reviewed by our team. You can also report any message or file from inside the app. Content that breaks these rules may be made inaccessible or removed without notice, and serious or repeated violations end in account suspension or termination (see section 11).

11. Account Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behaviour, or if required by law. You may delete your account at any time. Upon account deletion, your personal data will be permanently removed within 30 days in accordance with our Privacy Policy.

12. Limitation of Liability

In no event shall Kabiri be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
